These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Haitian Diaspora Forum (“Platform,” “Company,” “we,” “us,” or “our”) governing your access to and use of the Platform, including all related services, features, content, and functionality.
By accessing or using the Platform, you:
- acknowledge that you have read, understood, and agree to be bound by these Terms; and
- agree to comply with all applicable laws and regulations.
If you do not agree, you must immediately discontinue use of the Platform.
You represent and warrant that:
- you are at least 13 years old (or the age of majority in your jurisdiction);
- you have the legal authority to enter into this agreement; and
- your use of the Platform does not violate any applicable law or regulation.
To access certain features, you may be required to create an account. You agree to:
- provide accurate, current, and complete information;
- maintain and promptly update your information;
- maintain the confidentiality of your credentials; and
- accept responsibility for all activities under your account.
We reserve the right to suspend or terminate accounts that are inaccurate, fraudulent, or in violation of these Terms.
You agree not to use the Platform to:
- violate any applicable federal, state, or local laws;
- engage in harassment, hate speech, discrimination, or abusive conduct;
- promote or incite violence or illegal activities;
- conduct fraud, scams, or deceptive practices;
- distribute spam, malware, or harmful code;
- impersonate any individual or entity; or
- interfere with the security or operation of the Platform.
We retain sole discretion to determine violations and enforce restrictions.
You retain ownership of any content you submit, post, or display (“User Content”).
By posting User Content, you grant the Company a worldwide, non-exclusive, perpetual, royalty-free, sublicensable, and transferable license to:
- use, reproduce, distribute, display, perform, adapt, and modify such content; and
- promote, market, and improve the Platform.
You represent and warrant that:
- you own or have rights to your content; and
- your content does not violate any law or third-party rights.
The Platform operates as an interactive computer service under Communications Decency Act Section 230.
Accordingly:
- we are not liable for User Content;
- we do not endorse user opinions; and
- we reserve the right, but not obligation, to monitor, remove, or restrict content.
We may suspend or terminate access at any time for violations or risk mitigation.
We comply with the Digital Millennium Copyright Act.
If you believe your copyright has been infringed, you may submit a notice including:
- identification of the copyrighted work;
- identification of the infringing material;
- your contact information; and
- a good-faith statement under penalty of perjury.
We may remove allegedly infringing content and terminate repeat infringers.
The Platform may allow:
- business listings;
- advertising;
- event promotion; and
- marketplace interactions.
The Company is not a party to any transaction between users.
We do not:
- guarantee the accuracy or legality of listings;
- endorse any business, product, or service; or
- assume responsibility for user interactions or disputes.
Users must comply with applicable consumer protection laws, including those enforced by the Federal Trade Commission.
Certain services may require payment, including but not limited to:
- advertising placements;
- sponsored content; and
- premium features.
You agree to pay all fees as described at the time of purchase. Fees are non-refundable unless otherwise specified.
We reserve the right to modify pricing and payment terms at any time.
Your use of the Platform is subject to our Privacy Policy. You agree not to misuse personal data of other users and to comply with applicable privacy laws.
THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not guarantee uninterrupted, secure, or error-free operation.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, the Company shall not be liable for indirect, incidental, special, or consequential damages.
Total liability shall not exceed the greater of:
- the amount paid by you in the prior 12 months; or
- one hundred U.S. dollars (USD $100).
You agree to defend, indemnify, and hold harmless the Company, its affiliates, officers, and agents from any claims arising from:
- your use of the Platform;
- your violation of these Terms; or
- your User Content or conduct.
We may suspend or terminate your access:
- for violation of these Terms;
- to comply with legal obligations; or
- at our sole discretion.
You may terminate your account at any time.
These Terms shall be governed by the laws of the State of FLORIDA, without regard to conflict of law principles.
Any dispute arising under these Terms shall be resolved through final and binding arbitration.
You agree to resolve disputes individually and waive participation in class actions.
Arbitration shall take place in California, unless otherwise required by law.
We reserve the right to modify these Terms at any time. Updated Terms will be posted with a revised “Last Updated” date.
Continued use of the Platform constitutes acceptance of the revised Terms.
If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.
We may revise these Terms of Service from time to time. Your continued use of the Platform after updated terms are posted constitutes acceptance of those changes.
These Terms constitute the entire agreement between you and the Company regarding use of the Platform and supersede all prior agreements.
